Professional Services Agreement
Mindserve Media provides strategic digital marketing services designed to support measurable business growth. By engaging our services, you (“Client”) agree to the following terms.
Scope of Services
All services are delivered in accordance with a mutually agreed proposal, statement of work, or service agreement. Deliverables, timelines, and performance metrics are defined prior to engagement.
Mindserve Media reserves the right to adapt strategies based on performance data, platform changes, or market conditions to ensure optimal outcomes.
Commercial Terms
Fees, billing cycles, and payment terms are outlined in the applicable agreement.
- All fees are payable in advance unless otherwise agreed
- Late payments may result in suspension of services
- All fees are exclusive of applicable taxes
Performance & Results
Mindserve Media operates on a performance-driven methodology. However, due to the dynamic nature of digital platforms and market variables, we do not guarantee specific outcomes, including but not limited to rankings, traffic, leads, or revenue.
Client Collaboration
Successful outcomes require active client participation. The Client agrees to:
- Provide timely access to required platforms and data
- Respond to approvals and feedback within agreed timelines
- Ensure accuracy of all provided materials
Intellectual Property
Upon full settlement of fees, ownership of final deliverables transfers to the Client. Mindserve Media retains the right to reference non-confidential work for portfolio and marketing purposes.
Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, business, and technical information disclosed during the engagement.
Limitation of Liability
To the maximum extent permitted by applicable law, Mindserve Media shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, profits, or data.
Governing Law
This agreement shall be governed by and construed in accordance with applicable laws of India, unless otherwise agreed contractually.
